End User License Agreement

Below is the End User License Agreement applicable to the application Koji Chatbot for Atlassian Jira Service Management. This application is operated by Konverso SAS, hosted on Azure hosts running on West Europe region.

 

LICENSE AGREEMENT FOR USERS USE OF KONVERSO SOFTWARE

 

PLEASE READ THIS LICENSE (HEREINAFTER THE “LICENSE”) CAREFULLY BEFORE USING THE KONVERSO SOFTWARE.

 

THE KONVERSO SOFTWARE is published by KONVERSO.

 

IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, do not CLICK ON “I ACCEPT” DURING THE SOFTWARE INSTALLATION.  KONVERSO asks you to print this agreement before accepting it, so that you can make sure you accept it without reservations.

 

IF YOU USE THE KONVERSO SOFTWARE IN ANY WAY WHATSOEVER, YOU UNDERTAKE TO COMPLY WITH THE TERMS OF THIS LICENSE AGREEMENT GRANTED BY KONVERSO.

 

1. Extent of the rights of use

 

The KONVERSO Software is protected by copyright and by the following provisions.

 

In return for payment by the client (hereinafter “the Client”) of all of the price to access the KONVERSO Software, KONVERSO grants the Client’s users of the KONVERSO Software (hereinafter the “Users”), a personal, unlimited, non-exclusive and non-transferable right to access the KONVERSO Software.

The right to access the Software granted hereunder involves the deployment and use of the KONVERSO Software by Users, to access the functions they require solely for professional purposes.

The above provisions represent all of the rights of the Users relating to the use, reproduction, printing or display of all or part of the Software allowing access to the KONVERSO Software.

The right to access the Software does not include any other rights, and on no account includes the right to perform any acts not expressly authorised, and in particular, subject to the above provisions, the right to copy, translate, adapt, decompile, decode, arrange or make any other changes to the Software and/or its components.

In addition, the Users cannot use the KONVERSO Software for fraudulent purposes, attempt to log in to another person’s account, or carry out analyses of the system that constitute reverse engineering. The Users will therefore refrain from transcribing the Software or having it transcribed, into any language whatsoever and from representing or modifying it in any way.

In the event of use that does not comply with the use specified herein, action for infringement of patent may be taken against the Users.

Users are forbidden from:

  • using the specifications of the KONVERSO Software to create or enable the creation of a program that has the same purpose,

  • disclosing the content of the KONVERSO Software without the prior written consent of KONVERSO,

  • assigning, leasing, subleasing or transferring its license agreement to a third party without the prior written consent of KONVERSO,

  • failing to comply with the functions of the KONVERSO Software,

  • even partly merging the KONVERSO Software with other programs.

 

2. Terms and conditions of use

 

Users undertake only to use the KONVERSO Software for their own professional purposes, in accordance with its contractual purpose. Users undertake to take all of the necessary precautions for use of the KINVERSO Software.

Users access the KONVERSO Software by entering their user name and password in the KONVERSO Software login interface.

Users undertake to use their user name and password solely for the purpose of authentication. In this regard, Users must not, without this list being exhaustive, pass on, disseminate, share or make accessible their user name and password to third parties, in any way whatsoever.

 

3. Intellectual property rights

 

Apart from the right of use specified above, Users acknowledge that no intellectual property rights to the KONVERSO Software have been transferred to them.

Users undertake not to infringe the intellectual property rights of KONVERSO directly or indirectly or through third parties with whom they are associated.

Users do not have any rights to the registered trademarks, logos, texts, graphics, images, audio files, videos or any other elements protected by intellectual property rights that appear during access to the KONVERSO Software after logging in.

 

4. Duration

 

Access to KONVERSO Software is granted to the User throughout the period of validity of access to KONVERSO Software taken out by the Client under the subscription agreement (hereinafter the “Agreement”).

In the event of breach by a User of one of the conditions hereof, access to the Software may be cancelled by registered letter with acknowledgement of receipt sent to the User concerned by the aforementioned breach.

 

5. Liability

 

Users expressly acknowledge that they have taken all necessary precautions for implementing and using the KONVERSO Software.

KONVERSO is therefore not liable for any damage resulting from incorrect installation or use of the KONVERSO Software.

The User alone is responsible for use of the KONVERSO Software in accordance with the regulations in force.

KONVERSO cannot be held liable for accidental destruction of data belonging to Users, and it is up to Users to back up their data.

KONVERSO cannot be held liable for any breakdowns or malfunctions identified in the communications networks used.

 

 If a loss is suffered by a User, the User will refer the matter to the Client which may implement the provisions specified under the Agreement.

 

6. Applicable law - Competent court

 

This license is subject to French law.

 

ANY DISPUTES THAT MAY ARISE RELATING HERETO, AND IN PARTICULAR CONCERNING THE CONCLUSION, PERFORMANCE OR BREACH HEREOF, WILL BE REFERRED TO THE COMPETENT COURTS.

 

The Users declare that they have read and fully understand this license, and undertake to comply with its provisions
